HaloDesk Terms and Conditions


Welcome to HaloDesk — a comprehensive WhatsApp Marketing and Automation Platform designed for businesses to engage customers, automate conversations, and grow their brand through WhatsApp.


These Terms and Conditions (“Terms”) govern your access to and use of the HaloDesk platform, applications, APIs, and related services (collectively, the “Service”). By creating an account or using HaloDesk, you agree to comply with these Terms. If you do not agree, do not use the Service.


1. Definitions

  1. “HaloDesk” refers to the SaaS platform, its owners, and affiliated entities operating the Service.
  2. “User”, “You”, or “Customer” refers to any individual or organization using the Service.
  3. “Account” means the user profile registered to access the Service.
  4. “Content” includes messages, media, campaigns, data, or other materials transmitted or created via the Service.
  5. “WhatsApp Business API” refers to Meta’s WhatsApp interface through which HaloDesk provides messaging capabilities.
  6. “Subscription Plan” refers to the pricing and usage plan selected by the User.


2. Acceptance of Terms

By accessing or using HaloDesk:

  1. You confirm that you are at least 18 years old and have the authority to bind your organization.
  2. You agree to comply with all applicable laws, including data protection and anti-spam regulations.
  3. You consent to the collection, storage, and use of your data as outlined in our Privacy Policy.


3. Service Overview

HaloDesk provides tools and infrastructure for:

  1. WhatsApp marketing automation, including chatbots, bulk messaging, and campaign management.
  2. Live and automated chat handling.
  3. AI-driven chat and workflow automation.
  4. SaaS management features for multi-tenant or agency use.


HaloDesk operates as a third-party integration platform and is not affiliated with Meta, WhatsApp, or Facebook.


4. Account Registration and Security

  1. Users must provide accurate and complete information during registration.
  2. Each account is personal or organization-specific and cannot be shared without authorization.
  3. You are responsible for maintaining the confidentiality of login credentials.
  4. HaloDesk reserves the right to suspend or terminate accounts found to be fraudulent or misused.


5. Use of the Service

5.1 Permitted Use

You may use HaloDesk solely for lawful business communication purposes, including:

  1. Customer engagement via WhatsApp.
  2. Sending transactional or promotional messages to opted-in users.
  3. Automating customer support and marketing workflows.


5.2 Prohibited Use

You must not use HaloDesk to:

  1. Send unsolicited, spam, or deceptive messages.
  2. Impersonate others or misrepresent affiliations.
  3. Violate WhatsApp’s Commerce and Business Policies.
  4. Disseminate offensive, abusive, or illegal content.
  5. Engage in activities that interfere with HaloDesk’s operations or security.


Violation of these terms may result in account suspension or termination without notice.


6. WhatsApp Compliance

  1. All Users must comply with Meta’s WhatsApp Business Policy and WhatsApp API Terms of Use.
  2. HaloDesk acts only as a messaging facilitator. The User is responsible for obtaining consent from recipients before sending messages.
  3. Meta may suspend or revoke access to the WhatsApp API for policy violations, for which HaloDesk is not responsible.


7. Subscriptions, Billing, and Payment

  1. HaloDesk operates on a subscription-based model.
  2. Subscription fees are payable in advance on a recurring basis (monthly or annually).
  3. Users agree to maintain valid billing information at all times.
  4. All payments are non-refundable, except where required by law.
  5. Usage-based charges (e.g., per-message fees or WhatsApp API costs) will be billed as incurred.
  6. Failure to pay may result in account suspension or termination.


8. Data and Privacy

  1. HaloDesk processes user and customer data in compliance with applicable data protection laws, including POPIA, GDPR, and CCPA.
  2. HaloDesk acts as a data processor for customer data and as a data controller for platform account data.
  3. Users must ensure they have obtained necessary customer consents before uploading or messaging contacts.
  4. Data is encrypted at rest and in transit, and stored securely within cloud infrastructure.
  5. Detailed privacy practices are described in the HaloDesk Privacy Policy.


9. Intellectual Property

  1. All intellectual property related to HaloDesk (software, UI/UX, design, documentation, and branding) remains the sole property of HaloDesk or its licensors.
  2. Users retain ownership of their data, contacts, and message content.
  3. You grant HaloDesk a limited license to process your content for the purpose of providing the Service.


10. AI and Automation Features

  1. HaloDesk provides AI-driven tools to enhance automation, such as chatbot responses, message personalization, and campaign optimization.
  2. AI outputs are generated algorithmically and are not guaranteed to be accurate or appropriate in all contexts.
  3. Users are responsible for reviewing AI-generated messages and ensuring compliance with laws and ethics.


11. Service Availability and Support

  1. HaloDesk strives to maintain 99.9% uptime, excluding planned maintenance.
  2. Scheduled maintenance will be communicated in advance when possible.
  3. Technical support is available via email or dashboard ticketing during standard business hours.


12. Third-Party Integrations

  1. HaloDesk integrates with third-party services (e.g., WhatsApp, Meta, payment gateways, AI APIs).
  2. HaloDesk is not liable for any downtime, errors, or losses caused by third-party services.
  3. Continued access to third-party APIs may depend on the provider’s terms and availability.


13. Termination and Suspension

HaloDesk may suspend or terminate access if:

  1. The User violates these Terms or applicable laws.
  2. The account is used for spamming, fraud, or abusive behavior.
  3. Payment obligations are not met.


Users may cancel subscriptions at any time via the dashboard, but refunds will not be provided for unused periods.


Upon termination:

  1. Access to the platform and data may be disabled.
  2. HaloDesk may retain data as required by law or backup procedures.


14. Disclaimer of Warranties

The Service is provided on an “as-is” and “as-available” basis.


HaloDesk makes no warranties, express or implied, regarding:

  1. Availability, reliability, or accuracy of the Service.
  2. Fitness for a particular purpose.
  3. Freedom from errors, defects, or interruptions.


Use of HaloDesk is at your own risk.


15. Limitation of Liability

To the maximum extent permitted by law:

  1. HaloDesk shall not be liable for indirect, incidental, or consequential damages.
  2. Total liability under these Terms shall not exceed the total fees paid by the User in the preceding three (3) months.
  3. HaloDesk is not responsible for data loss, unauthorized access, or WhatsApp API restrictions.


16. Indemnification

You agree to indemnify and hold harmless HaloDesk, its affiliates, and employees against any claims, damages, or expenses arising from:

  1. Your use of the Service.
  2. Violation of laws or third-party rights.
  3. Transmission of unauthorized or unlawful content.


17. Changes to the Service or Terms

HaloDesk reserves the right to modify or update:

  1. The Service, features, or APIs.
  2. These Terms at any time.


Material changes will be communicated via email or platform notifications. Continued use constitutes acceptance of the revised Terms.


18. Governing Law and Jurisdiction

These Terms are governed by the laws of South Africa, without regard to conflict of law principles.


Any disputes shall be resolved exclusively in the courts of South Africa.

20. Entire Agreement
